Section 15 limits aggregate liability to the amount the claimant actually paid HSD for the service giving rise to the claim, subject to mandatory law. Section 17 specifies Broward County, Florida courts, subject to nonwaivable rights.
1. Operator, scope and acceptance
These Service Terms govern Archery Manager, operated by HSD Conglomerate, LLC, a Florida limited liability company ("HSD," "we," "us"). "You" means the individual accepting these Terms and, when acting with authority for a club or organization, that organization. A club representative must have authority to bind the club. An adult must act for a child where required.
A club request does not activate a paid subscription, approve a club or create an installation. By expressly accepting these Terms in the request form, you agree to the provisions applicable to your request and use of the website. Service activation and paid subscriptions require the applicable approval, offer or checkout disclosures and acceptance. Merely browsing this website does not establish consent to recurring charges.
A signed order or separate agreement controls over conflicting general terms for its specific subject. Mandatory legal rights take precedence. Our Privacy Policy describes data handling; it is not a waiver of privacy rights.
2. The service and club approval
Archery Manager provides club management software, a Members app and related enabled features. We may verify club existence, requester authority, appropriate use and suitability and may request additional information or decline an unapproved application. Do not submit a fictitious club, impersonate another organization or seek duplicate workspaces to evade limits.
Only the features, capacity and separately ordered products covered by your accepted offer are included. We may maintain, improve or replace features. A material reduction affecting an existing paid commitment will be handled under the applicable order and mandatory law. Marketing examples, adapted screenshots and sample data are illustrations, not a promise of a particular business result.
3. Club responsibilities and onboarding
The club is responsible for its administrators, configuration, member information and lawful instructions. It prepares and imports its own member CSV using the provided template and instructions, corrects validation errors and verifies imported records before relying on them. Free email support is included; personal data migration, on-site training, guaranteed response times and a service-level commitment are not included unless separately agreed.
The club determines its membership rules, dues, activity prices, consents, eligibility, schedules, staffing, safeguarding, attendance and communications. It is responsible for maintaining required insurance, licenses, registrations, waivers and operating procedures and for complying with laws applying to its activities. A software workflow does not replace that responsibility.
4. Accounts, permissions and acceptable use
- Provide accurate information and keep contact details current.
- Protect credentials and devices, assign the minimum appropriate permissions and remove access when a person’s role ends.
- Do not share administrator access with unauthorized people or attempt to access another club’s information.
- Do not upload unlawful, infringing, deceptive or malicious content, send unlawful bulk communications, abuse AI features or interfere with the service.
- Do not probe or bypass security, scrape personal information, resell access or reverse engineer the service except to the extent a nonwaivable legal right permits it.
- Promptly report suspected credential compromise or unauthorized use.
You remain responsible for authorized users’ use of the club workspace and actions taken through credentials under your control, except to the extent loss is legally attributable to us.
5. Plans, separate charges and commercial disclosures
The Pricing page describes the current club plan, introductory period, active paying app-member condition, member subscription options, AI allowance and separately charged access-control hardware and subscription. Plan prices appear there rather than being duplicated here. A free club plan does not make member app subscriptions, club dues, activities, purchases, excess AI usage or access control free.
The start of an introductory period, billing cycle, member-count assessment, any applicable taxes and payment-provider charges must be disclosed in the accepted offer or activation process before the relevant charge is authorized. A club’s existing membership records alone do not establish that it meets an active paying app-member condition.
You are responsible only for charges you authorize or that otherwise lawfully arise under your accepted offer. We may change future pricing with the advance notice and consent required by applicable law. Changes do not retroactively alter completed purchases or fixed prepaid commitments unless lawfully agreed.
6. Subscription billing, cancellation and refunds
Annual and monthly billing are different options. A displayed monthly equivalent for an annual plan is not a monthly installment arrangement. Before a recurring charge begins, the amount, frequency, renewal mechanism and cancellation method must be clearly disclosed and accepted. These Terms alone do not authorize an undisclosed automatic renewal.
Use the cancellation method disclosed for your subscription or email info@archerymanager.com with the account and subscription concerned. For a subscription purchased through an app store or another billing provider, use that provider’s cancellation process. Cancelling a member app subscription does not by itself cancel club membership, and cancelling club membership does not by itself cancel a separately billed app subscription.
Unless the accepted offer or mandatory law provides otherwise, cancellation prevents the next renewal and access continues through the paid period; completed and partially used periods are not refundable. Legally required refunds, remedies for unauthorized charges and applicable withdrawal rights remain available. A disputed charge does not remove your right to complain or use a lawful payment dispute process.
7. Club transactions and third parties
A club or identified seller is responsible for its own dues, coaching, events, products and services, including descriptions, delivery, safety, taxes, cancellations and refunds. HSD supplies software and is not the club, coach, event organizer, equipment supplier, payment institution or merchant of record unless a specific transaction expressly identifies HSD in that role.
Third-party payment networks, hosting, email, app stores and integrations have their own terms and availability. We are not responsible for third-party acts or failures beyond our control, except where applicable law or our own contractual responsibilities provide otherwise. Raise a club purchase problem with the club or seller first; this does not limit statutory remedies.
8. Your data, content and processing instructions
You retain your rights in the data and content you supply. You grant HSD the limited rights needed to host, copy, process, transmit and display that material to provide, secure, support and administer the service and comply with law. You confirm you have the necessary rights, notices, permissions and lawful basis, including for family and child information, photographs, communications and access records.
The club determines the information it collects and publishes. Do not upload unnecessary sensitive information, payment-card security codes, passwords or identity documents. Establish any required data processing agreement, provider information, transfer safeguards and child-privacy arrangements before the relevant processing starts. These Terms do not replace an agreement required by privacy law.
You may not use another club’s confidential information. HSD may use non-personal or effectively anonymized operational information to maintain and improve the service, provided individuals cannot reasonably be identified. The Privacy Policy governs our handling of personal information.
9. Automation and AI
Automation follows configured rules, recorded information and integration responses. You must configure permissions and instructions appropriately, check important records and promptly address reported errors or exceptions. AI-generated information may be incomplete or incorrect. The club remains responsible for required approvals, sensitive communications, official competition decisions, financial oversight and safety judgments.
AI and automated checks do not provide legal, medical, financial or professional safety advice. Do not rely on them as the sole basis for a decision that requires professional judgment, safeguarding or a legally required review. Where automated decision rights apply, they are preserved. AI output and automatic messages are not a guarantee of accuracy, eligibility, payment settlement or a particular result.
10. Archery, premises and physical access
HSD provides software; it does not supervise archery, operate the range or certify that a person, activity, facility or item of equipment is safe. The club and responsible participants must observe appropriate supervision, safeguarding, equipment checks, emergency procedures and applicable sporting rules.
Access control requires the separately supplied hardware and service. The club is responsible for permitted users, access rules, installation arrangements, maintenance, emergency egress, backup/manual access procedures and responding to faults. A recorded permission or automated revocation is not a physical guarantee of entry, exclusion, safety or security. Software does not replace fire, emergency, safeguarding or premises obligations.
11. Availability, support and records
We seek to maintain the service but do not promise uninterrupted availability, error-free operation, delivery of every email or notification, a particular response time, or recovery of every lost record. Maintenance, internet connectivity, third-party dependencies and events beyond reasonable control can interrupt service.
Keep independently accessible copies of information needed for essential club operations, emergencies and legal obligations. Ask about available export arrangements before ending service. No particular backup interval, recovery objective, export format or retention period is included unless separately agreed. This does not reduce security or data obligations imposed by law or an applicable processing agreement.
12. Suspension, restriction and termination
We may restrict or suspend access proportionately to address nonpayment, a material breach, unlawful use, security threats, false club information, an unauthorized requester, legal obligations or risk to the service or others. We will give notice and a reasonable opportunity to remedy a remediable breach where practicable and appropriate; urgent security or legal action may be immediate.
We may terminate for an unresolved material breach, repeated misuse or another reason permitted by the accepted agreement and law. You may end use and cancel subscriptions under the applicable cancellation process. Termination does not erase accrued lawful obligations, intellectual property rights, confidentiality duties or provisions intended to survive.
After termination, arrange any available export promptly. Data retention and deletion follow the Privacy Policy, applicable processing instructions and legal obligations. Suspension is not a forfeiture of statutory refund or access rights.
13. Intellectual property
HSD and its licensors retain all rights in the software, website, designs, documentation and service branding. Your right is limited to using the service as permitted during the applicable service period. No source-code ownership, unrestricted copying right or right to use our trademarks is transferred.
Feedback may be used to improve the service without an obligation to compensate you, but this does not grant rights over personal information or confidential club content. Report a suspected intellectual-property infringement to our legal contact with enough detail to identify the material and your rights.
14. Warranty disclaimer
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT, AND WITHOUT A GUARANTEE OF ADMINISTRATIVE SAVINGS, MEMBER RETENTION, BUSINESS PERFORMANCE OR FITNESS FOR A PARTICULAR CLUB.
Express commitments in an accepted written agreement and warranties, guarantees and remedies that applicable law does not permit us to exclude remain in effect. This section is not a waiver of fraud claims or mandatory consumer rights.
15. Maximum liability — amount actually paid
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HSD CONGLOMERATE, LLC’S TOTAL AGGREGATE LIABILITY TO A CLAIMANT, ARISING OUT OF OR RELATING TO THE SERVICE, THESE TERMS OR RELATED TRANSACTIONS, SHALL NOT EXCEED THE TOTAL AMOUNT THAT CLAIMANT ACTUALLY PAID TO HSD CONGLOMERATE, LLC FOR THE SERVICE GIVING RISE TO THE CLAIM.
There is no minimum payout or additional liability allowance. If the claimant paid HSD nothing for that service, the contractual cap is zero, to the extent the law permits. Amounts paid by someone else, club dues, activity charges, third-party purchases and amounts paid to independent providers do not increase this cap. Multiple claims or claimants acting on the same paid entitlement do not multiply the amount paid for that entitlement. The cap applies collectively across contractual, tort, negligence, statutory and other theories, to the extent legally permitted.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HSD IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, GOODWILL OR BUSINESS OPPORTUNITIES; OR LOSS OF USE OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.
Mandatory-law exception: Nothing excludes or limits liability, a refund, a remedy or a legal duty to the extent applicable law prohibits that exclusion or limitation, including applicable protections concerning fraud, willful misconduct, personal injury or consumer rights. If an exclusion is legally unavailable, liability is limited only to the extent the law permits. These limitations are an essential part of the commercial allocation of risk and apply to free and paid services.
16. Business club indemnity
To the extent permitted by law, a club accepting these Terms in a business or organizational capacity will defend and indemnify HSD against third-party claims and reasonable associated costs arising from the club’s unlawful content or processing instructions, infringement of another person’s rights, material breach of these Terms, or operation of its premises, coaching or events. This does not require indemnification for a loss to the extent caused by HSD’s own breach, negligence or misconduct.
HSD will give reasonably prompt notice and reasonable cooperation, allow the club to control the defense with competent counsel, and not agree to a settlement that imposes a payment, admission or continuing obligation on the club without its consent. The club may not bind HSD to a settlement without HSD’s consent, which will not be unreasonably withheld. This business indemnity is not imposed on an individual consumer acting only in a personal capacity.
17. Florida law and Broward County courts
For business and organizational contracts, these Terms are governed by Florida law, without applying conflict-of-laws rules that would require another jurisdiction’s law. Subject to mandatory law, the state courts located in Broward County, Florida, and the federal courts serving Broward County, Florida, have exclusive jurisdiction over disputes arising from these Terms or the service. The parties consent to personal jurisdiction and venue in those courts.
Contact us first with the relevant account, facts and requested resolution so we can attempt to resolve a dispute. This request does not impose a mandatory waiting period, shorten a legal deadline or prevent urgent relief, a regulator complaint, a lawful payment dispute or a claim in a forum protected by nonwaivable law. Consumers retain any mandatory protections and right to bring proceedings available in their place of residence. There is no mandatory arbitration or class-action waiver in these Terms.
18. Changes, notices and general terms
These Terms were last updated October 18, 2026. Material changes will be notified where required, and renewed acceptance will be obtained where necessary. Continued use does not authorize a new undisclosed charge, retroactive alteration of a fixed prepaid commitment or waiver of a mandatory right.
Service notices may be sent to the registered account email or displayed in the service, subject to applicable law. Keep your contact details current. An unenforceable provision is severed or limited only as law allows; the remaining provisions continue. A failure to enforce a provision is not a waiver. Neither party is responsible for delay caused by events beyond its reasonable control, except payment already due and duties that law does not excuse.
These Terms and the accepted applicable order form the agreement on their subject. A change to a specific signed agreement requires its stated amendment process. You may not transfer a service entitlement without our consent, except where mandatory law permits it. HSD may transfer the agreement in a lawful business reorganization or sale without reducing existing mandatory rights.
